Welcome to Espri.ai O/A Backboard.io. These Terms and Conditions (“Terms”) govern your access to and use of the Espri platform, including any applications, features, documentation, and services provided by Espri (“Espri,” “we,” “us,” or “our”).

By accessing or using Espri, you agree to be bound by these Terms. If you do not agree, do not use Espri.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use Espri. Organizations must ensure that only authorized representatives use the platform.

2. Account Registration & Security

  • You are responsible for all activity under your account.

  • You must provide accurate, current information and promptly update it.

  • You must safeguard your login credentials and notify us immediately of any unauthorized access.

3. Use of the Platform

Espri provides access to a suite of AI tools, including but not limited to:

  • Multi-modal large language models (LLMs),

  • Integrated chat interfaces, including text and audio,

  • Multi-user collaboration tools,

  • Data integration with internal and external sources, including Snowflake, MySQL, and PDFs,

  • Custom agent configuration and enterprise prompt libraries.

You agree to:

  • Use Espri only for lawful, authorized purposes;

  • Comply with all applicable laws and regulations;

  • Not use Espri to develop or distribute harmful, abusive, or infringing content.

4. Acceptable Use Policy

You may not:

  • Use Espri to generate, share, or disseminate unlawful or harmful content;

  • Attempt to reverse-engineer, decompile, or derive the source of any models or proprietary systems;

  • Use the platform to train competing AI systems;

  • Upload or share personal data without proper authorization;

  • Interfere with or disrupt Espri’s infrastructure or services.

5. Data & Privacy

  • Your Data: You retain ownership of any data you input into the platform (“User Data”). By using Espri, you grant us a limited license to process your data solely for providing and improving the services.

  • Model Outputs: Outputs generated by Espri may be influenced by probabilistic algorithms and pre-trained data. Espri does not guarantee factual accuracy.

  • Data Storage: Espri may store and log chats, uploads, and outputs for quality assurance, debugging, or analytics unless your enterprise agreement specifies otherwise.

6. Confidentiality

You agree not to disclose confidential information about the platform, including system prompts, proprietary tools, or internal configurations, unless such information is publicly available or legally required.

7. Intellectual Property

All content, code, and models provided by Espri (excluding User Data) are the property of Espri or its licensors. You may not copy, modify, sublicense, or create derivative works from any part of the platform without written consent.

8. Third-Party Services

Espri may interface with or depend on third-party services (e.g., LLM APIs, databases, voice interfaces). Your use of those services is subject to their respective terms. Espri is not responsible for their functionality, availability, or compliance.

9.  Disclaimers

  • The platform is provided “as is” and “as available."

  • We do not warrant that outputs will be accurate, complete, or suitable for any particular purpose.

  • AI responses may contain errors, hallucinations, or biases. Human oversight is required.

  • Espri disclaims all warranties to the maximum extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Espri shall not be liable for any indirect, incidental, special, consequential, or punitive damages;

  • Total liability shall not exceed the amount paid by you (or your organization) in the preceding 12 months.

11. Termination

We may suspend or terminate your access if:

  • You breach these Terms,

  • We detect misuse, abuse, or risk to the system,

  • Your subscription or trial expires.

You may terminate your use of the service at any time by discontinuing access.

12. Modifications to the Terms

We may update these Terms periodically. We will notify you of material changes. Continued use of the platform constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Ontario, Canada. Disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction.
