These Terms of Service govern access to and use of the Backboard.io platform, APIs, websites, and related services provided by Backboard.io  ("Backboard", "we", "our", or "us"). By accessing or using the Services, you agree to be bound by these Terms.

1. Services Overview

Backboard provides a cloud-based AI infrastructure platform offering persistent memory, conversational state management, document processing, and model orchestration via APIs and web interfaces.

Services are provided on a subscription and usage-based basis and may evolve over time. Backboard reserves the right to modify or discontinue features with reasonable notice.

2. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into contracts to use the Services.

You are responsible for:

  • Providing accurate registration information


  • Maintaining the confidentiality of your credentials


  • All activity conducted under your account


Backboard uses industry-standard authentication mechanisms and may enforce additional security controls as required.

3. Acceptable Use

You agree not to:

  • Attempt unauthorized access to systems or data


  • Circumvent usage limits, billing mechanisms, or security controls


  • Use the Services for unlawful, abusive, or fraudulent activities


  • Introduce malware or attempt to degrade service availability


Backboard reserves the right to suspend or terminate accounts that violate this section.

4. Customer Data and Ownership

4.1 Customer Data

You retain all rights, title, and interest in data you submit to the Services ("Customer Data").

Backboard acts solely as a data processor and does not claim ownership of Customer Data.

4.2 Use of Data

Backboard processes Customer Data only:

  • To provide and operate the Services


  • To maintain security, reliability, and performance


  • As required to comply with legal obligations


Backboard does not use Customer Data to train public or third-party models.

5. Data Security and SOC 2 Controls

Backboard maintains a security program aligned with SOC 2 Trust Services Criteria, including:

  • Logical access controls based on least privilege


  • Role-based access management and quarterly access reviews


  • Secure development lifecycle with code review and testing


  • Encryption of data in transit and at rest where applicable


  • Monitoring, logging, and alerting for security events


  • Incident response procedures and documented escalation paths


Up-to-date compliance documentation, including security policies, control descriptions, and audit-related materials, is made available through Backboard’s Trust Center at https://trust.backboard.io. Certain materials may be accessible under confidentiality or non-disclosure obligations.

6. Data Retention and Deletion

Customer Data is retained only as long as necessary to provide the Services or as required by law.

Upon account termination:

  • Customer Data is deleted following a defined retention period


  • Certain logs may be retained for security, audit, or legal purposes


Deletion timelines and methods are documented internally and reviewed periodically.

7. Availability and Support

Backboard makes commercially reasonable efforts to maintain availability but does not guarantee uninterrupted service.

Scheduled maintenance and emergency updates may occur with minimal notice.

Support is provided based on your subscription tier.

8. Third-Party Services and Subprocessors

The Services may rely on third-party infrastructure providers such as cloud hosting, databases, or vector storage services.

Backboard:

  • Conducts vendor risk assessments


  • Limits access to Customer Data


  • Maintains a list of subprocessors upon request


Backboard remains responsible for its subprocessors under these Terms.

9. Confidentiality

Each party agrees to protect the other party’s confidential information using reasonable care and to use such information solely to fulfill obligations under these Terms.

Confidential information excludes data that is publicly available or independently developed without reference to the confidential information.

10. Compliance with Laws

You are responsible for ensuring your use of the Services complies with applicable laws, including data protection and privacy regulations.

Backboard maintains policies and controls to support compliance with applicable security and privacy standards.

11. Fees and Billing

Fees are based on subscription plans and usage metrics disclosed at the time of purchase.

You are responsible for all usage incurred under your account, including pass-through costs such as third-party model inference fees where applicable.

12. Suspension and Termination

Backboard may suspend or terminate access:

  • For security risks


  • For violations of these Terms


  • For non-payment


Upon termination, access to the Services will cease and data deletion will follow the retention policy.

13. Disclaimers

The Services are provided "as is" and "as available."

Backboard disclaims all warranties not expressly stated, including implied warranties of merchantability or fitness for a particular purpose.

14. Limitation of Liability

To the maximum extent permitted by law:

  • Backboard is not liable for indirect or consequential damages


  • Total liability is capped at fees paid in the preceding 12 months


15. Changes to These Terms

Backboard may update these Terms periodically. Continued use of the Services after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
